In order to clarify section 3.08 of the Fort Worth Audubon Society (FWAS) By-Laws, we, the FWAS board, are proposing a change to the wording of this section which deals with the definition of the board position we call "Director-at-Large". With this change, we wish to do accomplish the following four items with regards to Directors-at-Large: 1) Be sure that among our director's at large we have at least two very experienced FWAS members to help guide our organization; 2) Create a niche that allows one person to join the board in a way they can become comfortable with participating as a new board member, with the aim of mentoring the newer member into other board positions; 3) Clarify number of years we expect said positions to have previously served as an FWAS member and/or Board Member; 4) Clarify numbers of Director-at-Large positions.

What follows is the proposed new wording of Section 3.08 of the FWAS By-Laws:
3.08 Directors-at-large, providing historical perspective and continuity, experience from another conservation organization relevant to the Mission Statement of the FWAS, or serving as an entry level board member; shall have previously served as officers or committee chairs of the FWAS or shall have been active in FWAS as a paid member for a minimum of one (1) year retrospective from the date of appointment. Notwithstanding the above requirements at least two (2) Directors-at-large in any given term shall both have been active in FWAS as a paid member for a minimum of five (5) years retrospective from the date of appointment and served at least one (1) complete one-year term as an Officer or Committee Chairman as herein defined in Article 4 and 5 within that five-year period.

For perspective on this proposed change, the following is the current wording of Section 3.08 of the FWAS By-Laws:
Directors-at-Large, providing historical perspective and continuity, shall have previously served as
officers or committee chairs or shall have been active in FWAS for at least five (5) years.
